1Agreement Confirmation

This Agreement (hereinafter "Agreement") is a legally binding contract between you (hereinafter "User" or "you") and TerminalMac Inc. (hereinafter "Platform" or "we") governing your use of our Mac cloud computing services and related features (hereinafter "Services"). Please read each clause carefully before using the Services, paying particular attention to provisions regarding limitation and exclusion of liability.

By clicking "Agree", "Start Using", or any other confirmation button, or by accessing or using the Services in any manner, you are deemed to have fully understood and agreed to all terms of this Agreement. If you object to any term, please immediately stop using the Services and exit the platform.

2Scope of Services & Changes

2.1 Core Services

The platform provides cloud computing resource rental services based on real Apple Mac physical machines. We reserve the right to adjust or modify service features, content formats, technical specifications, or delivery methods at any time based on operational needs.

2.2 Service Availability

We will make every reasonable effort to ensure continuous and stable operation of the Services, but do not make any explicit commitment to uninterrupted or error-free availability. You acknowledge that factors such as network fluctuations, normal hardware aging, and scheduled system maintenance may cause brief service interruptions. Our liability is limited to the Service Level Agreement (SLA) agreed upon by both parties.

2.3 Third-Party Service Integration

The platform may integrate plugins and functional components provided by third-party partners. We make no warranties regarding such external services and assume no joint or incidental liability of any kind.

3Account Security

3.1 Registration Requirements

You warrant that all information provided during account registration and subsequent use is truthful, accurate, complete, and up to date. Any losses resulting from providing false information or failing to maintain current account details are solely your responsibility.

3.2 Credential Management

You are responsible for safeguarding all access credentials associated with your account, including but not limited to usernames, passwords, and SSH keys.

All actions performed using your account credentials are deemed authorized by you, and you bear the corresponding legal consequences. If you detect any unauthorized login or suspicious activity, please contact us immediately.

4Fees & Billing

4.1 Billing Model

The platform operates on a prepaid model; users must pay in full before services are activated. All plan prices are denominated in USD and are exclusive of taxes. Any taxes arising from the use of the Services must be declared and paid by the user in accordance with applicable laws.

4.2 Refund Policy

Unless otherwise required by applicable law, all fees paid by users are non-refundable, including prepaid account balances and purchased but unused service time. The platform retains final authority on this policy.

4.3 Pricing Adjustments

The platform reserves the right to adjust service prices at any time. Any pricing changes will be communicated to users in advance via platform announcements or account notifications. Renewals are billed at the price in effect at the time of renewal.

5Acceptable Use

You must comply with all applicable laws throughout your use of the platform. The following actions are strictly prohibited:

  • Violating any laws, regulations, or regulatory requirements of any applicable jurisdiction;
  • Infringing upon others' copyrights, patents, privacy rights, or other legally protected interests;
  • Sending spam, launching phishing attacks, or engaging in any other form of online fraud;
  • Conducting unauthorized port scanning, network penetration, or distributing trojans, viruses, or malicious code;
  • Mining cryptocurrency or digital assets in any form (unless prior written permission has been obtained from us);
  • Excessively consuming or abusing platform computing resources, or interfering with the normal use of other users.
Upon detection of any violation, we reserve the right to immediately suspend or permanently terminate access to the Services without prior notice, delete associated stored data without refund, and pursue any applicable legal remedies.

6Data Processing

6.1 Data Ownership

All data you upload or store on the platform's servers remains your property. The platform makes no claim of any kind over your data content.

6.2 Backup Responsibility

Users are solely responsible for all data backup and security measures. Even where the platform provides supplementary backup tools, such tools are optional add-ons and do not constitute any express or implied commitment by the platform regarding data integrity or security.

6.3 Privacy Data Handling

You agree that the platform may collect, store, and process your personal information in compliance with the Privacy Policy.

7Disclaimer of Liability

The platform's services are provided "as is" and "as available" without warranties of any kind, express or implied.

To the fullest extent permitted by applicable law, the platform expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and unencumbered title. We do not warrant that the Services will meet all your business requirements, nor that they will be uninterrupted, real-time, error-free, or completely accurate at all times.

8Liability Cap

Under no circumstances shall the platform, its affiliates, directors, employees, or business partners be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages — including but not limited to loss of business profits, data loss, or business interruption — even if the platform has been advised of the possibility of such losses.

To the maximum extent permitted by law, our total cumulative liability to you — whether arising from contract, tort, or any other legal basis — shall not exceed the total amount of service fees actually paid by you to the platform in the one month preceding the event giving rise to the dispute.

9Termination

9.1 Voluntary Termination by User

You may stop using the platform's services at any time, but fees already paid are non-refundable.

9.2 Termination by Platform

If we have reasonable grounds to believe you have violated any term of this Agreement, we reserve the right to suspend or permanently terminate your access to the Services at any time without liability. Upon termination, the platform may immediately delete all data and records stored on its servers associated with your account.

10Miscellaneous

10.1 Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where TerminalMac is incorporated. Any disputes arising from this Agreement shall be submitted to the competent courts of that jurisdiction for resolution.

10.2 Severability

If any provision of this Agreement is found to be unlawful, invalid, or unenforceable, that provision shall be deemed severed from the Agreement, and the validity, enforceability, and binding effect of all remaining provisions shall remain unaffected.

10.3 Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the platform services and supersedes all prior written or oral communications, representations, and agreements between the parties on the subject matter hereof.
